These Terms of Use (“Terms”) govern your access to and use of the Financial Advisor tools, unique client link functionality, and related services made available through Uptiq.ai (“Uptiq.ai,” “we,” “us,” or “our”).
By creating or using a unique client link, you acknowledge that you have read and agree to these Terms.
1. Purpose of the Service
Uptiq.ai provides technology and solutions designed to support Financial Advisors and their clients.
As part of these services, Financial Advisors may be provided with a unique link that allows clients to voluntarily access certain tools, resources, or services.
The unique link may be used to associate participating clients with your advisor profile for purposes of administering the applicable service and supporting the client experience.
Creation or use of a unique link does not create an obligation for you or your clients to use any particular financial, mortgage, or other product or service.
2. UPTIQ Premier Mortgage
UPTIQ Premier Mortgage, LLC (“UPM”) is a separate company that provides mortgage brokerage services.
Uptiq.ai does not provide mortgage brokerage services through these Terms, and use of the Uptiq.ai platform does not constitute an application for mortgage financing.
If a client independently chooses to request mortgage services from UPM, the client will be subject to UPM’s applicable disclosures, privacy notices, authorizations, and mortgage-related terms.
3. No Referral Agreement or Compensation
Your unique link is provided for purposes of administering optional client services and identifying your advisor relationship with participating clients.
Creation or use of the link:
- does not create a referral agreement with UPM;
- does not obligate you to refer mortgage or other business to UPM;
- does not obligate a client to use UPM;
- does not entitle you to compensation based on mortgage activity.
You will not receive any fee, commission, referral fee, payment, or other thing of value based on whether a client:
- uses your unique link;
- requests information about mortgage financing;
- applies for a mortgage loan;
- selects UPM as a mortgage broker; or
- closes a mortgage transaction through UPM.
Nothing in these Terms is intended to create an arrangement that would violate the Real Estate Settlement Procedures Act (“RESPA”) or any other applicable law governing referrals, compensation, or settlement services.
4. Client Choice
Participation by clients is voluntary.
You may provide your unique link to clients who may wish to access the applicable service, but you may not represent that a client is required to participate or that participation is required in connection with investment advisory, mortgage, or other financial services.
Clients remain free to choose whether to participate and whether to use any mortgage lender, broker, financial institution, or other service provider.
5. Your Responsibilities
You agree to use the platform and your unique link only for legitimate professional purposes and in accordance with applicable law.
You may not:
- make false or misleading statements about Uptiq.ai, UPM, or any service offered through the platform;
- represent yourself as an employee, agent, mortgage loan originator, or representative of UPM unless separately authorized to do so;
- make representations or guarantees regarding mortgage approval, eligibility, interest rates, pricing, loan terms, or availability;
- alter, manipulate, or misuse the unique link;
- use the service for unlawful, deceptive, abusive, or unauthorized purposes;
- attempt to access information belonging to another advisor or client;
- use client information obtained through the service for purposes inconsistent with applicable law, the client’s authorization, or these Terms.
6. No Authority to Bind UPM or Uptiq.ai
Unless expressly authorized in writing, you do not have authority to make commitments, representations, guarantees, or agreements on behalf of Uptiq.ai or UPM.
You may not represent that Uptiq.ai or UPM has approved a particular mortgage transaction, investment strategy, loan product, rate, or other financial outcome.
7. Client Information and Privacy
Information collected through the platform will be handled in accordance with applicable privacy notices, disclosures, authorizations, and law.
Clients may be presented with separate privacy notices or consent language when they elect to participate in a particular service.
You agree not to submit information about a client without appropriate authorization or otherwise use the platform in a manner that violates applicable privacy, confidentiality, or data-protection requirements.
Your use of the platform may also be subject to the Uptiq.ai Privacy Policy.
Where a client chooses to engage with UPM, UPM’s separate privacy notices and mortgage-related disclosures may apply.
8. Optional Information Sharing
Certain services may allow a client to authorize information to be shared with you.
Any information made available to you must be used only for legitimate purposes related to your professional relationship with that client and in accordance with the client’s authorization and applicable law.
The availability of client information may vary by service, client authorization, and applicable legal or contractual requirements.
9. Third-Party Services
Certain tools or services accessible through the platform may be provided by third parties.
Those services may be subject to separate terms, privacy policies, disclosures, and requirements.
Uptiq.ai does not control the privacy or security practices of unaffiliated third parties, and use of third-party services may require acceptance of additional terms directly from the applicable provider.
10. Intellectual Property
The Uptiq.ai platform, including its software, branding, design, content, functionality, and related materials, is owned by or licensed to Uptiq.ai and is protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable right to use the platform and your unique client link for their intended professional purposes.
You may not reproduce, modify, distribute, sell, sublicense, reverse engineer, or otherwise exploit the platform except as expressly permitted by Uptiq.ai.
11. Availability of the Service
Uptiq.ai may modify, suspend, restrict, or discontinue any portion of the platform or its functionality at any time.
We do not guarantee that the service will always be available, uninterrupted, error-free, or compatible with every device or system.
12. Suspension or Termination
Uptiq.ai may suspend or terminate access to the platform or deactivate a unique link if we reasonably believe that it:
- is being misused;
- is being used in violation of these Terms;
- creates legal, regulatory, privacy, security, or reputational risk;
- is associated with fraudulent or unauthorized activity; or
- must be restricted to comply with applicable law.
13. No Professional Advice
The platform and materials made available through it are provided for informational and administrative purposes.
Unless expressly stated otherwise, Uptiq.ai does not provide legal, tax, accounting, investment, or mortgage advice through these Terms or the advisor-registration functionality.
Nothing provided through the platform should be interpreted as a guarantee of any particular financial or mortgage outcome.
14. Disclaimer of Warranties
To the extent permitted by applicable law, the platform and related services are provided on an “as is” and “as available” basis.
Uptiq.ai does not warrant that the platform will be uninterrupted, error-free, or free from harmful components or that any particular result will be achieved through use of the platform.
15. Limitation of Liability
To the extent permitted by applicable law, Uptiq.ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the platform.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in the platform, our business practices, or applicable legal or regulatory requirements.
When changes are made, we will update the “Last Updated” date above.
Continued use of the platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
17. Governing Law
These Terms will be governed by the laws of Pending team confirmation, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute arising from these Terms will be handled in accordance with applicable law and any additional dispute-resolution provisions communicated to you.
